Preliminary terms for using the IntegraMed360 platform.
Effective date:
1. Service scope
IntegraMed360 provides tools that support patient management, in-person and virtual appointments, clinical documentation, communication, reporting, medical-supply inventory, and other workflows for clinics and healthcare professionals. The contracted scope is defined in the applicable proposal, order, or agreement.
2. Clinic account responsibility
The clinic must provide accurate information, protect credentials, appoint administrators, and keep users, roles, branches, and permissions current. It is responsible for activity by its authorized users unless the law or contract provides otherwise.
3. Authorized users
Only people authorized by the clinic may access the service. Each account is personal. The clinic must remove or adjust access when a person's duties change and immediately report suspected unauthorized access.
4. Acceptable use
Users may not attempt to bypass security or organizational access controls, access data without authorization, interfere with the service, introduce malicious code, use it for unlawful activity, or conduct security testing without written authorization.
5. Patient-data responsibility
The clinic determines what information it enters and must have appropriate authority, notices, consents, and procedures to process patient data. It is also responsible for the accuracy and professional use of recorded information.
6. Consent and communications
The clinic must configure communications and obtain required consent before sending reminders or messages. Patient preferences and opt-out requests must be respected. Availability of an external channel, including WhatsApp, may depend on its provider.
7. Clinical decisions
IntegraMed360 supports administrative and clinical workflows; it does not provide medical care or replace professional judgment. Diagnosis, treatment, prescribing, and care decisions remain the sole responsibility of authorized professionals and the clinic.
8. Availability and support
Reasonable efforts will be made to operate and maintain the service. Support windows, maintenance, availability targets, and response objectives are binding only when stated in an approved agreement.
9. Fees and subscriptions
Fees, currency, billing period, and payment date are stated in the applicable proposal or order. Public-site amounts are informational launch prices until incorporated into an accepted agreement.
10. Intellectual property
IntegraMed360 and its components, design, software, and documentation are protected by applicable rights. The clinic retains its applicable rights in its data. Access to the service does not transfer ownership of the platform.
11. Confidentiality
Each party will protect the other's confidential information with reasonable care, use it only for the service relationship, and disclose it only to people who need it or when an applicable obligation requires disclosure.
12. Suspension and termination
Access may be suspended to protect security, prevent harm, meet an applicable obligation, or address a material breach. When reasonable, notice and an opportunity to cure will be provided.
13. Disclaimers
Except for express written warranties and to the extent allowed by law, the service is provided without additional warranties. No representation is made that every error, interruption, or third-party service is risk-free.
14. Limitation of liability
Any limitation of liability must be proportionate, consistent with applicable law, and aligned with the relevant commercial agreement.
15. Changes
These terms may be updated to reflect service changes or applicable requirements. Material changes will be communicated appropriately before taking effect when required.
16. Governing law and disputes
Governing law, jurisdiction, venue, and dispute-resolution process must be stated in the approved agreement with the clinic.
17. Cancellation and refunds
Cancellation, non-renewal, and any refund terms are only those stated in an approved proposal or order.
